TERMS OF SERVICE

HEISENBERG — ESTIMATE & TERMS OF SERVICE

These terms apply to services provided by AirCod Heating and Cooling LLC, doing business as Heisenberg ("Heisenberg," "we," "us"). Thank you for choosing us — we provide HVAC service with transparency, professionalism, and integrity.

These are the same terms presented when you approve an estimate, pay an invoice, or start a plan.

Effective July 2026

SERVICE / DIAGNOSTIC FEE

A $99 service/diagnostic fee applies to all appointments and covers travel, time, and on-site assessment. This fee is non-refundable and due regardless of whether further work is performed. If additional work is approved, this fee is credited toward repairs of $500 or more. This fee does not apply to scheduled maintenance visits under an active membership plan, or to diagnostic visits included in your plan — see MEMBERSHIP PLANS below.

ESTIMATES & PAYMENTS

Estimates are valid for 30 days from the date issued; after that, pricing may change. Payment is due in full upon completion of services unless other written arrangements are made in advance. A 3% processing fee applies to credit card payments over $700; this fee is disclosed before payment, does not apply to debit cards, and does not apply to recurring membership plan charges. For special-order parts, a prepayment/deposit may be required.

PAYMENT TERMS & NON-PAYMENT

Invoices are due upon receipt unless otherwise agreed in writing. Balances not received within 21 days may be subject to a late charge of 1% per month until paid in full, not to exceed the maximum rate permitted under Washington law. Accounts unpaid beyond 45 days may be referred to a licensed collection agency; the customer agrees to be responsible for associated collection, legal, and court costs where permitted by law. Returned checks incur a $25 fee.

DIAGNOSTIC DISCLAIMER

Diagnostics identify the most probable cause of failure based on observable conditions at the time of service. Replacing a component based on these findings does not guarantee full system functionality if additional issues exist; further repairs may be required and will be quoted separately. Intermittent faults that do not reproduce during the visit may require a return visit.

REPAIR & INSTALLATION WARRANTY

Repairs: 12-month labor warranty on replaced parts and refrigeration sealed-system components (e.g., motors, relays, fans, capacitors). Installations: 3-year labor warranty on new HVAC system installations. Equipment warranty is provided by the manufacturer (typically up to 10 years) and requires proper registration and regular maintenance. Regular maintenance per manufacturer guidelines is required to keep warranty coverage valid. Cleaning services carry no warranty; where a membership plan includes a repeat cleaning, that is part of the plan's scope of service and is described under MEMBERSHIP PLANS below.

This repair warranty is the same for every customer. It is not a membership benefit and is not sold separately.

REFRIGERANT CHARGE & LEAKS

Adding refrigerant to a system with a suspected or confirmed leak is a temporary measure, not a repair of the leak. We do not warranty refrigerant charge on systems with unrepaired leaks. Leak diagnosis and repair, where performed, are quoted separately.

OLDER SYSTEMS & PHASED-OUT REFRIGERANTS

On older systems — including units using phased-out refrigerants such as R-22 — replacement parts and refrigerant may be limited, costly, or unavailable. Repairs to such systems may be temporary, and replacement may be recommended when continued repair is not cost-effective. Approving a repair does not guarantee the lifespan of an aging system.

REFRIGERANT HANDLING

All refrigerant recovery, charging, and handling is performed in accordance with EPA Section 608 requirements.

NO GUARANTEE OF FULL SYSTEM PERFORMANCE

HVAC systems may have multiple underlying issues. Repair or replacement of a specific component does not guarantee overall system performance, efficiency, or long-term reliability.

EXISTING EQUIPMENT, LINES & CONCEALED CONDITIONS

We do not guarantee the performance, efficiency, or reliability of existing equipment, ductwork, or components not installed or fully replaced by us. We are not responsible for pre-existing defects, code violations, or concealed conditions — including hidden leaks, damaged electrical or gas lines, or condensate/drain clogs caused by pre-existing conditions. Discovery of such conditions may require additional work at additional cost. We do not warranty existing water or gas lines unless we specifically replaced them.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, our total liability for any claim arising out of or related to services provided shall not exceed the amount paid by the customer for the specific service performed. For membership plans, that amount is the plan fee paid for the current term. We are not liable for indirect, incidental, or consequential damages, including loss of use, property damage, or business interruption.

Nothing in these terms limits or excludes liability for death or personal injury caused by our negligence, for fraud or intentional misconduct, or for any other liability that cannot lawfully be limited under Washington law.

CHANGE ORDERS & SUBSTITUTIONS

Additional work not in the original estimate requires customer approval and may result in a revised estimate. We may substitute materials or equipment of equal or greater quality if the original items are unavailable.

PERMITS & ACCESS

The customer is responsible for providing safe, adequate access to the work area and for confirming compliance with local zoning, HOA, and property restrictions unless otherwise agreed. Permit requirements are addressed case-by-case and may incur additional cost.

CUSTOMER RESPONSIBILITY

The customer agrees to provide clear, safe access; secure pets and remove valuables/obstructions; and disclose known hazards or system issues. Deposits for special-order parts may be non-refundable once the order is processed.

CANCELLATIONS & NO-SHOWS

Appointments cancelled with less than 24 hours' notice, or no-shows, may be subject to the service fee. For membership plan visits, a missed visit is rescheduled at no charge the first time; after that it counts as one of the visits included in your plan term.

RIGHT TO REFUSE OR STOP WORK

We reserve the right to refuse or discontinue work if unsafe conditions are present, access is restricted, or payment terms are not met.

EXTERNAL FACTORS

We are not responsible for delays or performance issues caused by factors beyond our control, including utility failures, weather, manufacturer defects, or supply-chain delays.

DOCUMENTATION (PHOTOS/VIDEO)

The customer consents to our taking photographs or video of equipment and work areas for diagnostic, warranty, quality-assurance, and record-keeping purposes.

MEMBERSHIP PLANS

MEMBERSHIP PLANS

This section applies if you have purchased a recurring maintenance plan. Where it differs from the rest of this document, this section governs.

What a plan is

A membership plan buys scheduled maintenance. It is a maintenance agreement, not a service contract, warranty, insurance policy, or repair coverage. We do not promise to repair or replace your equipment if it fails, and no part of your plan fee is held against future repairs.

What your plan includes

The visits, tasks, and benefits included in your plan are set out in the plan description you accepted at signup. Prices, visit counts, and tier features are published at heisenbergwa.com/membership and are not repeated here, so that this document stays accurate when they change. Where your plan includes a member discount on repairs, that discount applies to labor only; parts, refrigerant, and materials are billed at cost.

What your plan does not include

Parts and repairs. Refrigerant, including charging, recovery, and leak repair. Duct cleaning, sealing, or modification. Equipment we cannot safely reach — no attic access, no walkway, blocked crawlspace, or an active hazard on site. Defects arising from an installation we did not perform. Equipment that cannot be safely or usefully maintained. Commercial and multifamily properties above four units. Any condition we documented and recommended addressing, which you declined.

Where a plan includes diagnostics at no charge, that means diagnostics on the equipment covered by your plan, during normal business hours, at reasonable frequency. It is not unlimited visits.

Billing and renewal

Your plan is billed at the price and interval shown at signup, and renews automatically at the end of each term until you cancel. Washington state and local sales tax is added to plan charges.

Before each renewal we send an email with the renewal date and the amount. If your price is changing, we send that notice at least 30 days before the renewal date, and you may cancel instead of renewing.

If a payment fails

If a charge is declined we will contact you and try again. If the plan fee remains unpaid 30 days after the due date, the plan is suspended and benefits stop until it is brought current. We will not perform plan visits during a suspension.

How to cancel

Submit the form at heisenbergwa.com/cancel, or send a text or email saying you want to cancel. One line is enough. We do not require a phone call, a reason, or a conversation with anyone.

We process cancellations within one business day and send written confirmation. If we fail to process a cancellation on time and a charge goes through, we refund it.

Refunds

Monthly plans: cancel any time and you are not charged again after the cancellation date. There is nothing to refund and there is no termination fee.

Prepaid annual plans: we refund the unused portion of your term, less the published price of any visits or work already performed under the plan. If the work already delivered is worth more than you paid, the refund is zero. We show you that arithmetic in writing. This paragraph governs refunds on membership plans and replaces any general no-refund language presented elsewhere at checkout.

Scheduling

We schedule plan visits by agreement. Where your plan provides a visit you request, you may request it in any month of your plan term other than July or August, when we prioritize members without heating or cooling. If you have not scheduled a visit by the end of your plan term we will contact you to book it before the term ends. Unused visits do not carry over into a new term and have no cash value.

Repeat cleaning under Performance Max

Where your plan includes blower wheel removal, and biological growth returns to the cleaned components within twelve months of that visit, we clean them again at no charge. This is part of the plan's scope of service — it is not a warranty on your equipment and does not extend to any other condition, component, or outcome.

Installation discount

Where your plan includes an installation discount, you earn it by completing full plan years while your membership is active. It is a discount applied at the time of an installation purchased from us. It is not an account, not stored value, not redeemable for cash, and not transferable to another person or property. It does not combine with other promotions. If your membership ends, you stop earning it and it no longer applies.

Transfer

Membership plans are tied to the named customer and the service address, and do not transfer to a new owner or a new address.

Installation-included plans

Some installations include a two-year maintenance plan with one annual inspection and tune-up. That plan is provided as part of the installation, is not billed separately, and does not renew automatically.

COMMUNICATION & PRIVACY

By approving an estimate or invoice, or by starting a membership plan, you agree to receive service-related communications including appointment reminders, service reports, and plan renewal notices. Marketing messages are sent only with your separate consent, given at the time you provide your number or email. Reply STOP to any text to opt out of texts, or email heisenberghvac@gmail.com to opt out of email. Opting out of marketing does not stop service-related messages about work you have booked or a plan you hold. Our privacy policy is at heisenbergwa.com/privacy-policy.

CHANGES TO THESE TERMS

We may update these terms. The version in effect when you approve an estimate or invoice governs that work. For membership plans, we will give at least 30 days' notice before a change takes effect, and you may cancel instead of accepting it.

ACCEPTANCE & GENERAL

Approving an estimate or paying an invoice — including electronically through our online client portal — constitutes acceptance of these terms. Starting or renewing a membership plan also constitutes acceptance. This document, together with the approved estimate, invoice, or plan description, is the entire agreement and supersedes prior verbal representations. If any provision is unenforceable, the rest remain in effect. This agreement is governed by the laws of the State of Washington, and venue for any dispute is Clark County, Washington.
